Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "you") and Huaren.ai ("Company", "we", or "us"). By accessing or using any Huaren.ai service, you agree to be bound by these Terms and our Privacy Policy.

If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. References to "you" include both individual users and any organisation you represent.

Enterprise AI Services

Our Enterprise offerings include AI-powered business process automation, large language model integration, custom AI system development, web and digital presence solutions, and data analytics. Specific deliverables, timelines, and commercial terms for enterprise engagements are set out in individual Statements of Work (SOW) or Master Service Agreements (MSA).

Lifestyle AI Services

Our Lifestyle platform provides AI-assisted tools for personal productivity, cultural connection, language learning, and curated services for the global Chinese community including travel and lifestyle deals. These services are provided on a subscription or free-tier basis as described at the point of registration.

Service Availability

• —We target 99.5% uptime for production services, excluding scheduled maintenance windows
• —Scheduled maintenance will be communicated at least 48 hours in advance
• —We reserve the right to modify, suspend, or discontinue services with reasonable notice
• —Beta and experimental features are provided as-is without uptime guarantees

By using our services, you agree to:

• —Provide accurate and complete information when registering or submitting inquiries
• —Maintain the confidentiality of your account credentials
• —Use services only for lawful purposes consistent with applicable laws in your jurisdiction
• —Not attempt to circumvent security controls, reverse-engineer our AI systems, or extract training data
• —Not use our services to generate content that is harmful, defamatory, discriminatory, or otherwise illegal
• —Not input confidential third-party information into AI systems without proper authorisation

Prohibited Uses

The following uses are strictly prohibited and may result in immediate service termination:

• —Generating or distributing misinformation, deepfakes, or synthetic media intended to deceive
• —Using AI outputs to facilitate illegal activities, including fraud, harassment, or intellectual property infringement
• —Automated scraping, bulk querying, or API abuse beyond agreed rate limits
• —Sublicensing or reselling access to our services without prior written agreement
• —Using our services to develop competing AI products without explicit written consent

Our AI systems generate outputs based on probabilistic models. You acknowledge and agree that:

• —AI-generated content may contain errors, inaccuracies, or outdated information
• —AI outputs should not be relied upon as the sole basis for medical, legal, financial, or safety-critical decisions
• —You are responsible for reviewing and validating AI outputs before acting on them
• —Huaren.ai does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content

Intellectual Property in AI Outputs

Subject to your compliance with these Terms, AI-generated outputs produced at your direction are owned by you. We retain no ownership interest in outputs generated for your specific use. However, we may use anonymised, aggregated interaction patterns (not the outputs themselves) to improve our models.

For paid services and subscriptions:

• —Fees are as specified at the time of purchase or as set out in your Enterprise agreement
• —Subscription fees are billed in advance on a monthly or annual basis
• —All fees are non-refundable except as required by applicable consumer protection law
• —We reserve the right to change pricing with 30 days written notice
• —Overdue payments may result in service suspension after 14 days written notice

Enterprise Billing

Enterprise engagements are governed by individual MSAs and SOWs. Invoicing terms, milestone payments, and expense policies are specified in those documents and supersede these general Terms where in conflict.

All Huaren.ai platform technology, branding, AI models, and proprietary systems are and remain the exclusive intellectual property of Huaren.ai. These Terms grant you a limited, non-exclusive, non-transferable licence to use our services for their intended purpose.

Your Content

You retain ownership of all content and data you provide to us. By submitting content, you grant Huaren.ai a limited licence to process that content solely to deliver the services you have requested. This licence terminates when you delete the content or close your account.

Feedback

If you provide feedback or suggestions about our services, you grant us the right to use that feedback without restriction or compensation. We appreciate your input in making our services better.

To the maximum extent permitted by applicable law:

• —Huaren.ai shall not be liable for indirect, incidental, special, consequential, or punitive damages
• —Our total aggregate liability shall not exceed the greater of: (a) the fees you paid in the 12 months preceding the claim, or (b) CAD $500
• —We are not liable for losses arising from third-party service failures, network outages, or force majeure events
• —We are not responsible for AI output errors that result from inaccurate or incomplete inputs you provide

Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Canada

• —Disputes shall first be submitted to good-faith mediation for a period of 30 days
• —Unresolved disputes shall be referred to binding arbitration under the BC International Commercial Arbitration Centre (BCICAC) rules
• —Canadian Consumer Protection: nothing in these Terms limits rights granted to consumers under applicable provincial consumer protection legislation
• —Quebec residents: where Quebec law is mandatory, it applies notwithstanding these Terms

United States

• —US users agree that disputes will be resolved by binding arbitration under JAMS rules rather than in court, except for small claims court matters
• —Class action waiver: you waive your right to participate in class action lawsuits against Huaren.ai
• —California residents: if the class action waiver is found unenforceable, California courts shall have jurisdiction
• —DMCA: to report copyright infringement, send a compliant notice to our designated DMCA agent at legal@huaren.ai

Either party may terminate the service relationship:

• —Users may cancel subscriptions at any time; access continues until the end of the current billing period
• —Enterprise clients may terminate as specified in their MSA or SOW
• —We may suspend or terminate your access immediately for material breach of these Terms, fraud, or illegal activity
• —We may terminate free-tier accounts with 30 days notice if the account has been inactive for 12+ months

Upon termination, your right to use the services ceases. We will provide a 30-day window to export your data before deletion, except where prohibited by law or security concerns.

We may revise these Terms at any time. For material changes, we will provide at least 14 days notice by email or prominent in-service notification. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must stop using our services before the effective date and may be entitled to a prorated refund of prepaid fees for the unused period, where required by applicable law.
